Organizational Meeting Minutes, Oct. 30, 2024
This organizational meeting was via Zoom.
Present: Michele Jacklin, Mike Savino, Tom Scheffey, Jacqueline Smith, Mary Connolly, Jeff Daniels, Mitch Pearlman, Chris Powell, Jodie Gil, Clare Dignan.
This organizational meeting is required under the process of establishing CCFOI as a new corporation. It was learned the Secretary of the State’s office dissolved our corporation on May 8, 2023 because we failed to file a required report and pay a $50 fee. No one on the board received notice of this, apparently due to changes in officers and there was no current address on file.
At an emergency meeting on Sept 3, 2024, the board unanimously voted to authorize Pearlman to begin the process of filing for a new corporation, the quickest way to correct this situation. Pearlman filed a Certificate of Incorporation with the SOTS on Sept. 11, 2024. That form is attached to these minutes. On Sept. 23, 2024, the SOTS sent its Acceptance Notice to CCFOI. That form is attached to these minutes.
Acceptance of board appointments: The next step for the new corporation was for the existing board to accept appointment to the new corporation’s board. Accepting on the Zoom meeting were Jacklin, Savino, Scheffey, Smith, Connolly, Daniels, Pearlman, Powell, Gil and Dignan. Unable to attend the meeting, Karen Florin, David DesRoches and Steve Nevas previously accepted their appointments. The new board was unanimously approved.
Approval of bylaws: The bylaws were unanimously approved. The bylaws are attached to these minutes.
Election of officers: The existing officers were nominated as officers of the new corporation. They are Co-President Michele Jacklin, Co-President Mike Savino, Vice President Tom Scheffey, Treasurer Jacqueline Smith, Secretary Mary Connolly and Legislative Chair Jeff Daniels. They were unanimously elected. The Organization and First Report required by the SOTS was filed at the conclusion of this meeting, listing all board members. That form is attached to these minutes.
Looking ahead: The next monthly meeting will be Nov. 20 at 9 a.m. via Zoom.
